Clutch Group performs due diligence contract review for leading global retail bank involved in M&A transaction.
The Challenge
In connection with the sale of a business unit, a leading global retail bank had to review hundreds of client and vendor agreements within one week to comply with due diligence requests from the acquiring firm.
Our Solution
The bank hired Clutch Group to assist with the review project. Clutch Group assigned a team of three attorneys, including a U.S.-licensed project manager, to review more than 300 client and vendor agreements within the week. Clutch Group proposed parameters to focus the review and developed a searchable contract database that captured this information in a matrix format. The team tracked 15 parameters per agreement, including indemnity, change of control, non-compete, assignment/transfer, material payment, and termination, and they recorded amendments to the contracts. The client later asked the three-member team to review 300 additional contracts, also within one week, and to redact sensitive information from the contracts.
The Clutch Group team completed the assignments within the timeframe required by the bank. The bank especially appreciated the searchable contract database the Clutch Group team created because of its comprehensiveness and the structured representation of the findings.
