The Challenge

As a Top 5 global retail bank with operations throughout the U.S., Europe, and Asia, this client had executed contracts with numerous affiliates and was struggling to keep track of its multiple obligations. In order to streamline its records and better manage its contractual duties, the bank was hoping to consolidate the contracts under agreements with a single legal entity for the group.

Our Solution

The bank hired Clutch Group to assist with this project. Clutch Group created a team from its facility in Bangalore consisting of a U.S.-licensed project manager and two associates. The team reviewed over 150 client contract documents within a week, analyzing issues related to contract re-assignment, sublicensing and other terms of contract assignability. The team determined if re-assignment was possible, documented communication requirements and analyzed terms and conditions for termination if re-assignment was not permitted. Based on this analysis, Clutch group presented recommendations for each contract and highlighted the best course of action for the client. The team proactively developed a tracking method for the bank to use internally to manage transition of the agreements based on the output of the review.

Based on the success of this project, the bank selected Clutch Group for regular M&A due diligence work the following year.
